The firm represents clients in connection with the acquisition, financing, development, leasing, management and sale of various commercial properties. Although the firm emphasizes real estate-related transactions, the firm also represents clients on other types of business transactions.
ACQUISITIONS AND SALES
The firm has served as real estate counsel for the sponsors of publicly registered and private real estate funds and a variety of other institutional and private real estate developers and investors in connection with the acquisition, leasing, development, financing and disposition of properties located throughout the United States and in Canada, Europe, Australia and the Caribbean.
The firm has represented clients in connection with the purchase and disposition of a variety of real estate assets, including raw land, office buildings, industrial facilities, shopping centers, health care facilities and apartment projects, as well as simultaneous and deferred exchanges of real property.
The firm also assists clients in the formation of entities for the acquisition and development of real estate projects and other business transactions.
DEVELOPMENT
The firm has served as real estate counsel to national and regional developers in connection with the development of a variety of projects, including office buildings, retail centers, industrial projects, resort properties, hotels and condominiums.
In its role as counsel to developers, the firm has prepared and negotiated development agreements, construction contracts, reciprocal easement agreements, restrictive covenants, management agreements and other agreements pertaining to real estate development.
FINANCING
The firm represents lenders and borrowers in connection with acquisition, development, construction, mezzanine and permanent financings involving a wide range of real estate properties across the United States.
This work includes the representation of life insurance companies, banks and other financial institutions, and borrowers, in mortgage loan transactions as well as loan workouts, foreclosures and credit problems relating to secured transactions.
The firm serves as counsel to a major national insurance company in connection with agricultural loans in Texas and other states. The firm also frequently serves as local counsel for out-of-state lenders and borrowers in connection with transactions in Texas.
LEASING
The firm represents a variety of entities in office, industrial and retail leasing matters, including the representation of the owners of one of the preeminent shopping centers in the United States, NorthPark Center in Dallas, Texas.
The firm serves as retail leasing counsel for the owners of regional malls in various states, and it represents national real estate developers in office leasing transactions.

The acquisition, development, financing and disposition of marinas throughout the United States, including representation of the purchaser in connection with the acquisition of a portfolio of 12 marinas located in Florida
The development, construction and financing of apartments, condominiums, shopping centers and recreational land projects in Texas, Louisiana, Tennessee, North Carolina, Utah, Nevada, California and the Bahamas
The acquisition of an equity interest in the owner of the Miami Beach Marina in Miami, Florida
The acquisition, development, financing and disposition of retirement housing and senior care projects
The acquisition of a 40-story office building in Fort Worth, Texas
